(401) 272-8080/Ext. 249 Areas of PracticeBusiness and Corporate Law Commercial Finance ExperienceTom counsels for profit and not for profit businesses on a variety of contract, real property, intellectual property and general governance issues. He represents both lenders and borrowers in commercial finance transactions, with a particular expertise in SBA 504 asset backed lending for which he is an SBA designated closing counsel. With a significant background in shareholder disputes, Tom is at times involved in related derivative litigation and majority-minority shareholder negotiations. Following his graduation from Northwestern University School of Law in 1989, Tom began his legal career in business and corporate law in New York City with Donovan, Leisure, Newton & Irvine and later was associated with Jones, Day, Reavis & Pogue. While in New York, Tom also earned an M.A. in Politics from NYU. For seven years Tom practiced law in Providence as principal of The Madden Law Firm, P.C. concentrating on business organizations, finance, acquisitions and dispositions, as well as trademark, copyright, intellectual property/licensing transactions, commercial leases and employment matters. Tom has worked with start-up software businesses, closely-held service providers, local and regional financial institutions, and a national medical technology concern. He has further experience with software licensing negotiation and agreements, web development contracts, copyright and trademark issues and registration. He also has experience with employment and consulting agreements and employee policies and practices. Throughout his career Tom has assumed a number of leadership positions in the Bar and has presented numerous seminars relative to business law. With experience in business start-ups, corporate transactions, business and public finance, securities law and nonprofit organizations law, Tom continues to work with a wide range of public and private clients.
